Todd Overman is chair of the firm’s Government Contracts Practice Group and has more than 20 years of experience advising companies on the regulatory, transactional, and litigation issues associated with doing business with the federal government. His practice includes government contracts counseling, mergers and acquisitions involving government contractors, compliance matters, and dispute resolution.
Todd regularly advises buyers and sellers in mergers, stock and asset acquisitions, dispositions, and corporate reorganizations involving government contractors. He has extensive experience navigating issues related to foreign ownership, control or influence (FOCI), national security reviews, small business regulations, and transaction structures involving federal contracts. Over the last decade, he has advised on more than 50 acquisitions involving government contractors.
He also maintains an active bid protest and claims practice before the Government Accountability Office (GAO), U.S. Court of Federal Claims, and the Small Business Administration’s Office of Hearings and Appeals. His regulatory practice includes advising on corporate compliance and ethics programs, domestic preference requirements, intellectual property and data rights, and SBA size, affiliation, mentor-protégé, and joint venture rules.
Career
Joined Bass, Berry & Sims in 2014 and currently serves as managing partner of the firm's Washington, D.C. office. Prior to joining the firm, Todd was a partner at Hogan Lovells US LLP and served as a law clerk to Senior Judge Loren A. Smith of the U.S. Court of Federal Claims.
