Thomas H Warren

Partner and Co-Head of the firm’s Global Energy team, Tom helps his clients manage risk and strategically negotiate complex energy transactions, including mergers and acquisitions, project development and financing, and commodity transactions.

Tom is a recognized leader on all aspects of clean energy project development, financing, construction and operation, including wind (onshore and offshore), solar, storage, nuclear, geothermal, biomass, hydrogen and hydro assets and related transmission projects.

He regularly handles engineering, procurement and construction agreements and other supply chain agreements; PPAs, corporate VPPAs, and other structured and financeable long-term power supply and financial hedging arrangements; joint ventures; energy and asset management transactions; and trading of physical and financial products under master agreements, including ISDA, EEI, NAESB and WSPP agreements. Tom represents utilities, data center owners and operators and energy project developers in transactions to supply power for data centers. He also has experience advising on other ESG and sustainability-related projects.

Tom represents buyers and sellers in business combinations in the energy industry, including acquisitions and dispositions of all types of electric generation and transmission assets, mergers, stock and other equity purchases, joint ventures, and structured alternatives.

A long-time champion of renewable energy and sustainability, Tom heads the firm’s Sustainability Committee, which oversees the firm’s commitment to achieve net zero emissions and other environmentally friendly business practices.
