Ms. Man Wang has 20 years of experience in investment funds. She is a senior partner at JunHe and heads JunHe's investment funds practice. Ms. Wang has advised on deals with aggregate capital commitments exceeding RMB 1 trillion. She serves as legal expert advisor to national and local government guidance funds, sits on the investment committees of funds sponsored by leading PE firms, and chairs the advisory committees of several such funds. Ms. Wang is regularly invited to participate in CSRC and AMAC policy and legislative discussions on PE funds and asset management.

Ms. Wang has extensive expertise and experience in providing legal service to fund life cycle, from formation and investment to operation and liquidation. She has advised numerous sponsors and institutional investors in hundreds of fund formation projects with different fund strategies, including private equity/venture capital, fund of funds, secondary, real estate and infrastructure, mezzanine, and continuation.

Ms. Wang was invited by AMAC in 2025 as an expert contributor to the Equity Investment Funds textbook. In 2023, she contributed to the China Private Equity (Venture Capital) Fund Exit Research Report organized by Beijing Equity Exchange Center and Beijing Fund Town. In 2022, she co-authored Foreign Private Equity Funds In China——Guide to Market Entry and Operations with Tricor. She also contributed to the Compliance Management Manual for the Private Equity Investment Fund Industry (2021).

Work Highlights

Ms. Wang has served as legal counsel to the sponsors on all national guidance funds co-invested by the Ministry of Finance over the past three years, notably including the National Integrated Circuit Industry Investment Fund III (RMB 344 billion, 2024), the National Military-Civil Integration Industry Investment Fund II (RMB 59.6 billion, 2025), and the Service Trade Guidance Fund II (RMB 10 billion, 2025). In 2025, of the three regional funds launched by the National Venture Capital Guidance Fund, Ms. Wang played a leading role in two: the Jing-Jin-Ji Regional Fund (representing CICC Capital) and the Yangtze River Delta Regional Fund (representing the National Venture Capital Guidance Fund). In 2025, Ms. Wang provided assistance in the fundraising of dozens of private equity funds, including:

Assisted CITIC Capital in the establishment of a continuation fund and cross-border transaction of McDonald's China;

Assisted Sunshine Life Insurance in the establishment of a real estate private fund to acquire commercial properties related to Wanda Commercial Management;

Assisted CMBI Capital, Hines and China Post Life Insurance in the establishment of a pilot real estate fund and the investment in a core property in Shanghai;

Assisted True Light Capital's wholly-owned subsidiary in China in completing private fund manager registration;

Assisted China SOE Mixed-Ownership Reform Fund in the establishment of a fund and participation in the cornerstone investment of Chery Automobile;

Assisted China Life Asset Management in establishing an equity investment plan and investing in Beijing Science & Technology Innovation Fund through secondary transactions;

Assisted SenseTime in the establishment of a Private Equity Investment Fund;
