AECC Commercial Aircraft Engine Co., Ltd. ("AECC CAE") recently completed a capital increase and strategic investment introduction at the Shanghai United Assets and Equity Exchange, introducing over 10 strategic investors and raising RMB 5 billion. JunHe advised the National Manufacturing Transformation and Upgrading Fund, (the lead investor) and several other large institutional investors in this project. We provided one-stop legal services including transaction structuring, legal due diligence, and the drafting and negotiation of the transaction documents. We also assisted in the completion of the procedures for the state-owned asset transaction and provided advice on regulatory compliance.

 

AECC CAE is engaged in the design, development, production, assembly, testing, sales, maintenance, and service of commercial aircraft power units and related products. Its mission is to provide commercial large bypass ratio turbofan engine series products and corresponding services, with the vision of becoming one of the global leading manufacturers of commercial aviation engines.

We provided valuable analysis, legal opinions and solutions to the investors. In 2019, JunHe assisted the lead investor, i.e. the National Manufacturing Transformation and Upgrading Fund, in the formation of the fund, raising RMB 147.2 billion in total. The fund focuses on investing in enterprises in industries such as new materials, new generation information technology, and power equipment. Following the establishment of the fund, JunHe has assisted the fund fin completing several key sub-fund investments and direct equity investment projects.
