Xueping Yu

Practice Areas

Ms. Yu is a partner and the head of the Real Estate & Construction Group of JunHe LLP and currently practices at JunHe Shanghai Office. She commenced her full-time legal practice in 1994 and joined JunHe in 1998. Ms. Yu specializes in real estate and construction. Her experience covers real estate investment, development, construction, real estate-related transaction structuring, equity project merger and acquisition, lease and sale, factory relocation, real estate service transaction and hotel management. She has represented numerous multinational companies (including many Fortune 500 companies) and major real estate companies and investment funds in their investment and business operations, particularly in real estate related matters.

Career

Ms. Yu obtained the qualification to practice PRC law in 1995 and has been practicing PRC law for over 30 years.

Work Highlights

(1) The Sale of Partial Stakes in Six Raffles Cities by CapitaLand in China

In 2021, JunHe represented CapitaLand in its successful sale to Ping An Life Insurance of partial equity in Raffles City Shanghai, Raffles City Changning (Shanghai), Raffles City Beijing, Raffles City Ningbo, Raffles City Chengdu and Raffles City Hangzhou. CapitaLand continued the operation and asset management of such Raffles City projects. The total value of these Raffles City projects was RMB 46.7 billion, and the total amount of investment by Ping An Life Insurance was around RMB 33 billion. The team primarily led by Ms. Yu provided whole process legal services for this transaction including designing the transaction structure, undertaking the early-stage negotiations on the cooperation framework, drafting and negotiating all transaction documents, undertaking anti-monopoly notifications and assisting in the closing.

(2) Greenfield Audi FAW New Energy Vehicle Project in Changchun

In 2022, JunHe was hired by a joint venture between Audi and FAW in its acquisition of land and new construction of a large-scale new energy vehicle factory project in Changchun City. The overall investment of the project is about RMB 35 billion, with a total construction land area of about 1.5 million square meters. The team led by Ms. Yu provided full process legal services for the project, including assisting the client in obtaining land use rights, designing and determining the legal framework for project construction contracting, reviewing bidding documents, drafting, reviewing, revising and finalizing EPC contracts, engineering contracting contracts, supervision contracts, project management contracts and other related contract documents, providing legal consulting services in the whole process of construction.

(3) Starbucks’ Store Opening throughout Mainland of China

Since 2018, the team led by Ms. Yu has been providing full process legal services for Starbucks to open stores in cities in Chinese Mainland, to help Starbucks rapidly expand its business layout. The work of the JunHe team includes assisting the client in conducting legal due diligence on the sites, assessing risks, reviewing, revising and finalizing lease contracts and ancillary documents.
