Matt Reilly is a preeminent antitrust practitioner. During this thirteen years at the FTC he led numerous investigations and was one of the federal government’s leading trial lawyers. Drawing on this experience, Matt is routinely called on to navigate the approval process for complex, high-profile deals, in which effective advocacy in front of the agencies – and possibly in court – is critical.
In 2022, Matt won a complete trial victory for UnitedHealth Group in an attempt by the DOJ to block its proposed $13.8 billion acquisition of Change Healthcare. UnitedHealth Group retained Matt at a late stage of the DOJ pre-merger investigation to supplement existing counsel and lead any litigation. This case was the highest-profile and most legally significant merger trial under the Biden Administration, and it was the highest-value merger to go to trial since AT&T/Time Warner in 2018. Matt’s other recent significant representations, each of which involved navigating an extended FTC investigation, include Celanese in its $11 billion acquisition of a DuPont business unit (closed with EU-only remedy), AbbVie in its $63 billion acquisition of Allergan (closed with US and EU remedies), and Bristol-Myers Squibb in its $74 billion acquisition of Celgene (closed with US remedy).
