Luci Hague is a leading national security advisor to private equity sponsors and their portfolio companies, asset managers and operating companies based in Kirkland’s Washington, D.C. and New York offices. She authored the first-ever book on CFIUS’ history, The Secret History of CFIUS: How a ‘Paper Tiger’ Became America’s Most Important National Security Regulator, forthcoming in 2027 from Georgetown University Press. Her practice focuses on CFIUS reviews as well as outbound investment controls under Treasury’s Outbound Investment Security Program (OISP) and OFAC sanctions matters. She is widely recognized for her expertise in advising private equity sponsors, asset managers, and operating companies on addressing CFIUS considerations and risks across matter contexts and transaction types, including fund formation and design, transaction structuring, co-investments, joint ventures, and exits. Her experience includes securing CFIUS clearance for buy- and sell-side clients and co-investors in a range of industries including biotech, aerospace and defense, real estate, logistics, infrastructure, telecom, renewable energy, cybersecurity, and semiconductors. Luci has negotiated many mitigation agreements to address the U.S. government’s identified national security concerns in specific transactions, and maintains a leading practice in CFIUS enforcement and penalty matters.
