Giovanni assisted US Bank National Association in relation to the add-on financing transactions to Carnival group, the world's largest operator in the cruise industry, composed of a new loan and a new bond as well as repricing of the existing transactions, involving creation of multiple layers of various ranking security over group vessels. Value: € 2,8 billion.
Giovanni assisted Radius Payment Solutions Bidco Limited in relation to the Italian law aspects connected to a £460,000,000 financing to be made available by a pool of lenders for the purpose of acquiring the existing Radius group. Value: £ 460 million.
Giovanni assisted Vision Group and its management in the complex management buyout financed by ICG (Intermediate Capital Group), composed of both an equity investment of 49.4% and two UK law bonds issued at Lux level to finance the equity investment and at Italian level to refinance existing debt (composed of a mezzanine bond by Indigo and a senior financing by Banco BPM). Value: € 120 million.
Giovanni assisted Alcedo SGR in relation to the financing aspects of the sale of the entire stake of Friulair, Italian leading company in the global field for the production of dryers, filters, final coolers and accessories for compressed air treatment, to Ingersoll Rand, Italian company that provides products, services and solutions that enhance our customers' energy efficiency, productivity and operations.
Giovanni assisted Crealis S.p.A. in relation to the incremental financing provided by a pool of banks and funds (with Bnp Paribas, Unicredit, and Crédit Agricole Cib acting as global coordinators and bookrunners) to support the acquisition of three Portuguese companies : Woodcap Industria de Capsulas de Madeira, Manuel Firinho & Filhos, and Jesus Couto & Pereira, all based in Santa Maria de Feira, Porto. Value: € 150 million.
