Mr. Youyuan Jin is a partner at Merits & Tree. Prior to establishing Merits & Tree, He is a PRC-licensed lawyer and a Hong Kong Registered Foreign Lawyer. Prior to establishing M&T, Mr. Jin worked at King & Wood Mallesons, Zhong Lun Wende Law Firm, and Commerce & Finance Law Offices in Beijing for many years.
Mr. Jin has exceptional professional expertise and rich experience. With over two decades of legal practice, he has deeply specialized in investment, financing and M&A, cross-border transactions, domestic and overseas listings of enterprises, and private equity. (1) He has represented investment institutions or financing enterprises in completing over a thousand investment, financing, and M&A projects at various stages and rounds, covering industries including semiconductor chips, new energy and new materials, intelligent manufacturing, national defense and military industry, TMT, biomedicine and health, education and training, retail and consumption, and culture and sports. (2) He has assisted more than a dozen enterprises in achieving domestic and overseas listings or privatization delistings, with listing venues including Shanghai, Shenzhen, Hong Kong, the United States, and the United Kingdom. (3) In the field of funds, Mr. Jin has provided services such as fund establishment and fundraising, fund disputes, fund manager registration, fund product filing, and permanent legal advisory for nearly dozens of funds and/or their managers; he has also assisted government-guided funds and market-oriented mother funds in investing in various sub-funds, including venture capital funds, listed company M&A funds, and cross-border M&A funds. (4) He regularly advises clients on assessing and addressing compliance issues in business operations, as well as conflicts and disputes related to investment, financing, M&A, and listings; he has also helped companies in operational distress successfully complete debt restructuring and bankruptcy reorganization.
