Will Goodling advises businesses on mergers and acquisitions and other strategic corporate transactions. Based in Portland, he represents buyers and sellers across a range of industries, including consumer products, industrial manufacturing, professional services, technology, and transportation.
Will’s practice focuses on acquisitions, divestitures, and other M&A transactions involving companies of varying sizes and ownership structures, including closely held and founder‑owned businesses, private equity portfolio companies, and publicly traded companies. He regularly works with growth companies, middle‑market businesses, private equity funds, and large corporate clients on complex transactional matters.
In addition to his transactional practice, Will advises clients on corporate governance, securities law compliance, equity financings, and equity compensation matters. He also counsels clients on antitrust issues related to transactions, including Hart‑Scott‑Rodino Act filings for reportable acquisitions.
Will has experience representing clients in acquisitions and business sales across a range of industries and has advised on transactions involving strategic buyers and private equity sponsors. He previously served as a law clerk to a justice on the Washington Supreme Court and gained experience in antitrust matters through an externship with the Federal Trade Commission.
