Practice Areas

Tananan is a Partner at Chandler Mori Hamada Limited. She specializes in Real Estate Investment Trusts (REITs), real estate and mergers and acquisitions. Tananan has been representing major clients in the establishment, capital increases of a number of major REITs and property funds for public offerings (“PFPOs”), a structure similar to Real Estate Investment Trusts, and on the conversion of PFPOs into REITs, including domestic and international offerings. In addition, Tananan has experience on a number of mergers and acquisitions of listed and non-listed companies, for both domestic and cross-border transactions.

Work Highlights

Lessee: assisting a lessee in acquiring a leasehold for a unit in a luxury residential building, specifically from the branded residences located in a central urban area. This includes support with other related agreements concerning the construction and decoration of the unit.

GSEC (THA) PTE. LTD. (a subsidiary of GS Engineering & Construction Corp): assisted GS E&C in connection with the legal due diligence process and represented the client with the preparation and negotiation of joint venture agreement for the investment in a warehouse project located in Rayong province.

Ally REIT Management Co., Ltd. (Ally): advising on an additional investment by ALLY involving the purchase of land and a building. The transaction involved a REIT which is governed by relevant regulations of the Securities and Exchange Commission of Thailand and other relevant regulations in relation to real estate. The due diligence and structuring of the transaction had to be in line with those regulations. Additional applicable regulations included the Air Navigation Act B.E.2497 and Thai Waters Act B.E.2456.
