Chotiwut is a Counsel at Chandler Mori Hamada Limited, who excels in project finance, corporate law, M&A, legal due diligence and commercial rehabilitation. With his broad and deep experiences in cross-border M&A, he is entrusted with multi-million-dollar deals from the Company’s major international as well as local clients alike. He is recognized for his extensive experience advising on cross-border investment transactions across a broad range of service businesses and industry sectors, as well as aviation transactions. Chotiwut has taken a lead role on advising a number of aircraft lessors on reputative airlines rehabilitation proceedings in Thailand and aircraft leasing transactions in Thailand. Chotiwut has also advised the government on the national energy law reform.
Chotiwut has extensive international exposure seconding at Mori Hamada & Matsumoto in Tokyo, Japan, and serving international post at MHM’s office in Ho Chi Minh City, Vietnam.

Work Highlights
AirAsia X Berhad: acted as Thai legal counsel for AirAsia X Berhad (“AAX”) in connection with the proposed acquisition of (i) AirAsia Berhad and its related group of companies; and (ii) AirAsia Aviation Group Limited (“AAAGL”) and its related group of companies (“AAAGL Group”) by a designated special purpose vehicle company incorporated by AAX (the “SPV”) from Capital A Berhad resulting in indirect acquisition of (i) Asia Aviation Public Company Limited (“AAV”) and (ii) Thai AirAsia Co., Ltd. (“TAA”)
A major Japanese integrated trading and investment business conglomerate: assisting a major Japanese conglomerate in the acquisition of 25-30% of the shares in a company operating the business of thermal decomposition of waste tyres, by way of the purchase of shares from the existing shareholders of the company or the subscription of newly issued shares.
Material handling business: advised on a corporate restructuring. This included advising on the disposal of its shares in another company to its existing shareholder before the completion of its restructuring. We assisted the client in preparing the share sale and purchase agreement and termination agreement in relation to the shareholders agreement. In addition, we assisted both parties in the closing of the transaction.
