Danny advises clients on federal tax planning and controversies, real estate structuring and transactions, partnerships, fund formations, and inbound and outbound direct investments. He counsels both public and private REITs, including clients that use these structures in the timber and forest products industry.

In the corporate area, Danny structures taxable and tax-free mergers and acquisitions, liquidations, recapitalizations, and spin-offs and other distributions. His clients include large multinationals, as well as closely-held companies of all sizes, including several large S corporations. Danny’s experience includes innovative transactions using Up-C and UPREIT structures, installment sales and multi-party like-kind exchanges, in addition to the full range of corporate and partnership tax M&A issues.

Danny also counsels timberland investment management organizations in forming private timberland investment funds and joint ventures to own timberlands. In representing buyers, sellers, and lenders, Danny understands the tax issues involved in timber transactions and has the experience to structure acquisition and finance transactions to meet his clients’ goals.

Additionally, Danny’s practice includes obtaining private letter rulings from the IRS for clients on novel transactional issues, as well as representing clients throughout the audit process, at the IRS Independent Office of Appeals, and in tax litigation matters.
