Alice Dourado

Practice Areas

Alice focuses on Corporate Law, and has broad experience on domestic and cross-border merger and acquisition transactions (representing both Brazilian and foreign clients). She also has expertise in business consolidations. Her practice comprises advice on the constitution of joint ventures and other strategic alliances, as well as on corporate restructuring and reorganization.

She assists publicly and closely-held corporations, as well as boards of directors and other corporate bodies, on the adoption and implementation of corporate governance practices, and on the solution of deadlocks and corporate disputes.

She also provides legal support to investment managers in connection with the structuring and incorporation of funds, particularly those aimed at Private Equity and Venture Capital investments. Her experience further encompasses raising domestic and foreign investments, including the creation of feeder funds.

Support to investment funds and their managers includes compliance with regulation by the Brazilian SEC (CVM) and by other financial and capital markets surveilling entities, as well as their representation for the completion of the investments and subsequent disposal of the assets within the funds’ portfolio.

Career

Between 2011 and 2012, Alice worked as a foreign associate at the New York office of Sidley Austin LLP.
