M&A/Corporate: Gianni & Origoni boasts Italy’s leading mergers and acquisitions practice according to major league tables. The firm has advised on most of the largest domestic and international acquisitions in Italy involving leading businesses and is involved in some of the Italian government’s largest privatisation projects. The team also boasts Italy’s most extensive experience and knowledge pool in all aspects of private equity and venture capital work.
Antitrust & Regulatory: The firm was a pioneer in creating a department specialising in Italian antitrust and is regarded as one of the Italian market leaders in this field. The firm represents clients in major proceedings before both the European Commission and the Italian antitrust authorities.

Banking & Finance: The banking team provides advice on the full spectrum of financial issues, including advising investment funds, industrial clients, banks and financial institutions with respect to financing agreements, syndicated loans, guarantee agreements and other financing transactions.
Data Protection: The team boasts over 25 years of experience in the area of data protection, having been launched as a specialised team with the passage and entry into force of the first data protection law in 1996.
Energy & Infrastructure: The firm has developed considerable expertise in these areas and advises several leading overseas and Italian independent energy companies. Work categories include project finance, infrastructure projects, distribution, regulatory compliance, licensing, concession and bidding agreements, along with the purchase and the development of green and brown field projects.
Environmental: The firm’s lawyers advise on authorisation procedures and regulatory matters, litigation and negotiations in the environmental and energy sectors. They assist Italian and international clients on regulatory compliance and liability issues in relation to waste management, air and water pollution, health and safety and land contamination under both Italian and EU law.
Financial Markets: The firm assists issuers, sellers and underwriters on IPO’s and other equity offerings, including debentures, convertible and exchangeable bonds etc., throughout Italy and the Euromarkets. The team also advises on tender offers involving both public and other companies, structured securities and bonds, derivatives and on hedging and speculative strategies.
Insurance: The team assists clients in the acquisition of participations in insurance companies, insurance intermediation, as well as incidental regulatory issues, with particular reference to product and distribution aspects, relations with the Insurance Regulatory Authority (‘IVASS’) and assistance in procedures before the Italian Antitrust Authority.
Intellectual property, TMT & Cybersecurity: The firm acts for several companies on intellectual property and IT issues such as IP protection and litigation involving patents, trademarks, trade secrets, advertising and unfair competition. In the field of cybersecurity, we provide support in relation to all legal aspects, including both national and international regulations, advising in regard to ordinary compliance activities and in regard to extraordinary events, such as security incidents, cyber-attacks and data breach.
Labour: Given the extended scope of Italian law in this area, the firm has historically had a significant labour practice. The firm advises several industrial and financial groups as well as medium-sized businesses on handling the management of human resources and recurring employment issues.
Litigation & Arbitration: The firm’s advocates appear in major civil and administrative litigation in courts throughout Italy and before the country’s Supreme Court (Cassazione). They also represent clients or act as arbitrators in major international arbitrations, including ICC proceedings. Since 2008 the firm has broadened its services and offers clients assistance in white-collar crime.
