He specialises in M&A, particularly with regard to acquisitions and disposals of shareholdings and businesses, leveraged buy-outs, private equity transactions, joint ventures, takeover bids and exchange offers.

He is the author of numerous publications on corporate law, with particular focus on group regulation and company direction and coordination.

Andrea has extensive experience in assisting both Italian and international private equity funds and financial investors.

He provides strategic advice, supporting clients in structuring investment transactions and drafting and negotiating the necessary legal and contractual documentation, including financing instruments and related guarantees.

He also assists lending banks, debt funds, and management teams in leveraged/management buy-out (LBO/MBO) and buy-in transactions, providing customized solutions aimed at achieving optimal results.
