Mr. Taylor handles a wide variety of securities and corporate transactions. He counsels issuers and underwriters in connection with public offerings and private placements of equity, debt and specialty securities. He also represents both large and small companies in mergers and acquisitions.
Tim advises clients, including utility companies, petrochemical companies and residential homebuilders, on compliance with federal securities laws. Additionally, he represents issuers and financial advisors in comprehensive debt and equity restructurings of publicly traded and privately held corporations and limited partnerships.
He has represented clients in numerous debt, hybrid and equity offerings aggregating over $50 billion, including offerings of investment grade debt securities, high yield debt securities, common stock, preferred stock, convertible notes, junior convertible securities, securitization bonds, first mortgage bonds, general mortgage bonds, tax-exempt bonds, including tax-exempt bonds collateralized by first mortgage bonds, various specialty securities, including zero-premium exchangeable subordinated notes (ZENS), automatic common exchange securities (ACES), trust preferred securities and term-enhanced remarketable securities (TERMS), and at the market (ATM) common stock programs.
