Lead counsel on CFIUS, DCSA, and government contract matters as well as a number of national security based laws and regulations. Provides advice to clients looking to engage in financial transactions or other investment transactions through the negotiation, drafting, and filing requirements for CFIUS and FDI Screening regimes and/or the NISPOM to include companies in the aerospace, communications, defense, manufacturing, real estate and technology industries. Regularly advises clients on the acquisition, integration and post-closing activities for both classified and unclassified government contract businesses, helping clients navigate key regulatory and security requirements under the FAR, DFARS, and NISPOM. Also assists buyers and sellers in navigating the regulatory aspects of complex M&A deals involving government contractors, including due diligence reviews and contract negotiations. Supports US businesses with operations in China to manage risks and requirements associated with outbound investment screening, bulk data regulations, ICTS, and FASC authorities.
