Representative matters include: Activision Blizzard in its pending $75 billion acquisition by Microsoft (the largest-ever technology deal); Livongo in its $18.5 billion merger with Teladoc Health (the largest-ever digital health deal); Proofpoint in its $12.3 billion acquisition by Thoma Bravo (the largest-ever, private equity acquisition of a cloud software company); Total Produce in its combination with Dole Food Company; Visa in various matters, including the tax aspects of its $23.4 billion acquisition and integration of Visa Europe Limited; DuPont de Nemours in various matters including the $11 billion divestiture of a majority of its Mobility & Materials segment to Celanese Corporation, the combination of its nutrition and biosciences business with IF&F in a Reverse Morris Trust transaction, and its pending $1.75 billion acquisition of Spectrum Plastics; E.I. du Pont de Nemours and Company in its $130 billion merger-of-equals with Dow Chemical and the spin-offs of Dow and Corteva; Intel in various matters, including its agreement with Brookfield Infrastructure Partners L.P. to jointly invest approximately $30 billion to create a first-of-its-kind Semiconductor Co-Investment Program that introduces a new funding model to the semiconductor industry, its $15.3 billion acquisition of Mobileye, its $5.4 billion acquisition of Tower Semiconductor and formation of its McAfee joint venture with TPG and subsequent IPO; Broadcom in its $37 billion acquisition by Avago; and HPE in various matters, including several spin-offs.
