Amr Razzak represents clients in a broad range of corporate transactions and corporate governance matters, including mergers and acquisitions, joint ventures, investment and capital markets transactions, and situations involving shareholder activism. His practice encompasses transactions involving public and private companies, private equity funds, friendly and unsolicited situations, and U.S. and cross-border transactions. He has significant experience handling transactions in Europe, Asia, the Middle East and Australia. Mr. Razzak's clients have included companies such as Juniper Networks, Intel, Anaplan, Cadence Design Systems, carsales.com, Broadcom, Theravance Biopharma, Hanwha Group, Airbnb, and Juno Therapeutics. His representations have included Juniper Networks, Inc. in its $14 billion acquisition by Hewlett Packard Enterprise; Intel Corporation, in a number of matters, including its sale of a 51% interest in Altera corporation, its proposed but terminated $5.4 billion acquisition of Tower Semiconductor, its collaboration with United Microelectronics Corporation to develop a 12-nanometer semiconductor process platform, its sale of Wind River to TPG, and its sale of its home gateway platform division to MaxLinear, Inc. and its $4.2 billion spin-off and joint venture with TPG Capital, L.P. to form the independent cybersecurity company McAfee, as well as in connection with McAfee’s subsequent IPO; Trimble Inc. in the sale and contribution of its agriculture business to a joint venture with AGCO Corporation, and AGCO’s $2 billion acquisition of an 85% stake in the joint venture; Theravance Biopharma in connection with its $1.5 billion sale of all of its units in Theravance Respiratory Company, LLC (TRC) to Royalty Pharma and of its remaining royalty interest in Trelegy to GlaxoSmithKline plc for $225 million, as well as the offering and sale by GlaxoSmithKline plc of $280 million of senior notes exchangeable for Theravance Biopharma shares; and carsales.com Ltd. in its $624 million acquisition of a 49% stake in Trader Interactive, the related option to acquire the remaining 51% of the company and the subsequent exercise of that option for $809 million.
