Amr Razzak represents clients in a broad range of corporate transactions and corporate governance matters, including mergers and acquisitions, joint ventures, investment and capital markets transactions, and situations involving shareholder activism. His practice encompasses transactions involving public and private companies, private equity funds, friendly and unsolicited situations, and U.S. and cross-border transactions. He has significant experience handling transactions in Europe, Asia, the Middle East and Australia. Mr. Razzak's clients have included companies such as Intel, Anaplan, Cadence Design Systems, carsales.com, Broadcom, Theravance Biopharma, Hanwha Group, Airbnb, and Juno Therapeutics. His representations have included Intel in its acquisitions of Tower Semiconductor and Granulate Cloud Solutions as well as in its sale of its Home Gateway Platform Division assets to MaxLinear, and the separation of the Intel Security business into a joint venture with TPG and subsequent sale of McAfee and its enterprise business; Anaplan in its $10.7 billion sale to Thoma Bravo; Theravance Biopharma in various matters, including the $1.5 billion sale of its TRELEGY ELLIPTA royalty interests to Royalty Pharma; Cadence Design Systems in its $500 million acquisition of OpenEye Scientific Software; carsales.com in its $624 million acquisition of a 49% stake in Trader Interactive with an option to buy the remaining 51% interest and in the exercise of that option for the $809 million acquisition of that remaining 51% stake; Airbnb in its acquisition of HotelTonight; Juno Therapeutics in its $11 billion acquisition by Celgene. Mr. Razzak has handled some of the largest-ever semiconductor deals, including SanDisk in its $19 billion acquisition by Western Digital and Freescale Semiconductor and a private equity consortium in Freescale's $11.8 billion acquisition by NXP.
