Practice Areas

René Dubois is managing partner of Dentons’ Munich office and a member of the Real Estate and Corporate/M&A practice groups. He advises in particular on corporate law issues, M&A transactions, joint ventures and real estate transactions.

One focus of his work is on developing customized strategies for the acquisition and sale of large-volume real estate portfolios and on structuring complex joint ventures. His clients include well-known national and international real estate groups and investors. In addition, René regularly advises family businesses and entrepreneurial families on corporate law issues, the structuring of their investments and corporate transactions. His excellent results ensure that he is continuously recommended in rankings such as Chambers, The Legal 500 and Best Lawyers, where he is ranked as a “leading name” in real estate law.

Career

Dentons, Munich (Office Managing Partner since 2022; Partner since 2018), Noerr (Associated Partner 2009–2018; Associate 2004–2009), Simpson Thacher & Bartlett (International Associate 2008).

René Dubois also teaches corporate law matters of real estate transactions as a lecturer at the BeckAcademy and the EBS University of Business and Law in Wiesbaden/Oestrich-Winkel.

• Trei Real Estate: Advising on the sale of a fully rented local shopping center in Murnau (Bavaria).

• Vonovia SE: Advising on the sale of approx. 4,500 apartments and a potential area (undeveloped plots of land) of 40 hectares in Berlin to two municipal housing companies of the State of Berlin, HOWOGE and berlinovo.

• Trei Real Estate: Advising on the sale of three residential complexes with 544 apartments and around 7,000 square meters of commercial space in Berlin to MEAG.

• Vonovia SE: Advising on the sale of approx. 1,200 apartments in Berlin to funds managed by CBRE Investment Management.

• Vonovia SE: Advising on the sale of 1,213 apartments and undeveloped plots of land (area of approximately 12 hectares) in Dresden to the municipal housing company of the state capital of Dresden, Wohnen in Dresden GmbH & Co. KG (WiD), and the city of Dresden.

• Vonovia SE: Advising on the sale of five properties with 1,350 apartments in Berlin, Munich and Frankfurt to funds managed by CBRE Investment Management.

• Vonovia SE: Advising on the sale of a minority shareholding in Südewo (intermediate holding company owning 21,000 apartments) to Funds affiliated with Apollo.

• x+bricks: Advising on the sale of several food retail stores to the REWE Group.

• KKR & Global Infrastructure Partners: Advising private equity firm KKR and fund manager Global Infrastructure Partners, as part of a team led by Kirkland & Ellis, on the successful takeover bid for data center operator CyrusOne.

• x+bricks: Advising on the formation of a joint venture to install rooftop photovoltaic systems as part of the company's ESG initiatives.

• Vonovia SE: Advising on the sale of a portfolio of Berlin housing stock (total volume of 14,750 apartments, Vonovia's portfolio 4,250 apartments) to municipal housing companies of the state of Berlin.

• Castleforge Partners Limited: Advising on the acquisition of the first office building in Germany in Bremen's Old Town to establish an office and shared workspaces platform (market entry in Germany).

• Yonsung Group: Advising the Yonsung Group on the acquisition of pharmaceutical manufacturer Arevipharma GmbH. Within the course of the transaction, Arevipharma's active-ingredient business is to be expanded and internationalized through innovations and investments at the Radebeul site.

• Vonovia SE: Advising on the acquisition of a residential portfolio with 1,000 apartments in the German City Kiel from the Danish H&L Ejendomme A/S.
