Career
Pablo Jaramillo is a partner at Dentons. His main experience includes project structuring and development, project acquisitions and complex structured finance operations. Pablo also works in M&A and asset acquisition transactions of highly regulated industries in Colombia and Latin America.
Pablo has extensive experience in constitutional and public-administrative law issues with emphasis on project development and regulatory aspects, including matters related to royalties. He was an Assistant Magistrate in the Constitutional Court during the period 2016-2017, professor of Constitutional Law, Legislation and Public Policies (legislative procedure), Administrative Law, Public Actions among other related matters at Universidad de los Andes and was director of the public law area at Norton Rose Fulbright Colombia during the period 2017-2018.
Pablo has worked extensively across the region in some landmark infrastructure projects. His experience includes various transport sectors including ports, power generation facilities, toll roads, heavy and light rail, airports and massive transportation systems.
Work Highlights
Puerto Antioquia: Advising PIO S.A.S., Puerto Bahía Colombia de Urabá S.A. and Puerto Antioquia Holding S.A.S. on the regulatory framework for port concessions and several contractual matters related to the Project, including matters related to its financing (senior debt, mezzanine debt and equity investment), the drafting and negotiation of off-take agreements with key clients, owner's engineer agreement, EPC Contract related matters, dry bulk facilities and power line construction, operation and maintenance agreements with various counterparties, environmental, land matters including complex land restitution and expropriation proceedings involving several public entities, social matters, data protection, labour matters, among others.
