Main Areas of Practice:

Banking & Finance:
■ Local counsel to the collateral agent in financing through the issuance of guaranteed DIP notes by Pacific Exploration & Production Corporation under Rule 144A Regulation S, to current note holders and the Catalyst Capital Group Inc. on behalf of investment funds. This financing was made within one of the first and certainly the most important cross-border insolvency and financing deals presented before the Colombian authorities
■ Local counsel to Sumitomo Mitsui Bank, HSBC, Bancolombia S.A., Bancolombia Panamá and BNP Paribas as lenders in a Dollar credit agreement and a Colombian Peso credit agreement with Opain S.A. to refinance existing indebtedness and capital expenditures for the modernisation and expansion of the International Airport El Dorado of Bogotá
■ Local counsel for a potential lender in the financing to Concesión Ruta al Mar S.A.S to finance the design, construction, rehabilitation, improvement, operation and maintenance works in respect to the concession known as ‘Proyecto Antioquia-Bolivar’

Corporate/M&A:
■ Counsel for Asesorías Tyndall SpA, in the sale of Distribuidora Andina de Combustibles -DAC- (formerly ExxonMobil de Colombia) to Corporación Primax
■ Acted as local counsel for KKR & Co. L.P. in the global acquisition of the spread business of Unilever
■ Local counsel for for Mayr-Melnhof Packaging in the global acquisition of TANN Group

Mining, Energy & Natural Resources:
■ Local counsel to RK Mine Finance in the refinancing of Continental Gold (Buritica Project) and the restructuring of the Colombian security package as a result of a stream agreement entered into by Continental Gold and Triple Flag
■ Gran Colombia Gold Corp.: Advising on the equity Investment in Sandspring Resources Ltd. (TSXV: SSP) with mining assets in Guyana, for cash and in exchange for 30% participation for Sandspring on the ‘Chichrarron/Guia Antigua’ silver-gold Project in Colombia
■ Local counsel to Gran Tierra Energy in the acquisition of a 36.17% interest in the Suroriente Block, a 50% working interest in the Putumayo-8 block and 100% working interest of the Llanos-5 block, through agreements with Vetra Exploración y Producción Colombia S.A.S. and the acquisition of shares of Vetra Southeast S.L.U The total amount of the transaction was $104.2 million

Tax:
The firm provides specialised services in creating novel business structures, designing and implementing sophisticated tax structures and planning for present and future projects, tax litigation before tax and administrative authorities, estate planning and transfer pricing services.

Labour:
The firm provides advice regarding Colombia’s labour regime and social security laws, labour related lawsuits, compensation plans, immigration, hiring, termination and settlement agreements.

Litigation & Arbitration:

■ Spanish — Korean Consortium: Advising in an ICC arbitration initiated by a contractor hired for the construction of major works and elements for the waste-water treatment plant of Bello, Antioquia.
■ Spanish — Korean Consortium: Advising on a Dispute Resolution Board, which will decide several complex disputes regarding delays in the construction of the Bello Waste Water Treatment Plant and other technical claims.
■ Counsel for the defendant as contractor in a claim filed by a governmental entity, disputing the breach of the contract for the supervision of an infrastructure project, for alleged design defects $1,500 000.

Infrastructure/Projects:
■ Metro de Bogotá: Advising a consortium on the tender process for the Bogotá Metro, a $4,500 million project
■ Spanish — Korean Consortium: Advising on a Dispute Resolution Board, which will decide several complex disputes regarding delays in the construction of the Bello Waste Water Treatment Plant and other technical claims
■ Volvo do Brasil Veiculos Ltda: Advising Volvo on a complex tender proceeding conducted by Transmilenio

Intellectual Property:
The firm’s practice offers prosecution, litigation and transactional matters on trademarks, patents, copyrights, regulatory, management of intellectual property matters in Colombia and abroad.

Consumer Protection & Privacy:
Successfully advising manufacturers/sellers of automobiles, home appliances, insurance companies and software, among other industries in claims under the newly issued Consumer Protection Statute, including claims for supposed product defects and false advertising, as well as all privacy issues under the Habeas Data Statute.

Competition:
■ Advice to an oil and gas company Gran Tierra, in securing merger control approval of the acquisition of three oil fields
■ Representation of an interested third party in a bidrigging investigation regarding the construction of a $900 million highway
■ Legal advice to a German-based pharmaceutical company in presenting an opposition to the GSK/ Pfizer merger
