Career

Mauricio has been a partner since 2015. He is the co-head of our M&A and Corporate groups, and is the head of the Latin American and Caribbean region Corporate practice group. Mauricio takes a lead role on a range of deals, well known for his attention to detail and practical approach to solving client’s issues while advising both sellers and buyers in international M&A transactions and cross-border joint ventures.

Clients speak highly of his involvement and of his negotiation skills as reported by international directories such as Legal 500 and Chambers and Partners.

Work Highlights

Tyndall Group: Advising on the sale of 99.71% of the outstanding shares of Distribuidora Andina de Combustibles S.A. (formerly “ExxonMobil Colombia”), which handles 750 gas service stations in Colombia, to Primax S.A. (a Peruvian Company). In this auction sale process, we advised Tyndall in the structuring of the transaction and in the drafting and negotiation of the transaction documents with Primax and three other bidders interested in the acquisition of the shares. We also performed an exhaustive due diligence, regarding environmental and corporate contingencies of ExxonMobil Colombia.

KKR & Co. L.P.: Advising in the global acquisition of the spread business of Unilever. On this transaction we performed a legal due diligence of the local vehicles owned by Unilever, including assets, real estate, IP matters and licensing of food products. We assisted the buyer the designing the adequate acquisition structure from the legal, commercial and tax standpoints.

Mayr-Melnhof Packaging: Acting as a local counsel in the global (indirect) acquisition of Tann Group, with a local and relevant presence in Colombia. We performed a legal diligence on TANN Colombiana S.A.S., provided assistance in the drafting of the SPA and in the completion on the relevant conditions precedent for closing.
