Career

Alejandro is an associate in the Firm’s Banking & Finance practice group. He has been with the Firm since 2018.

He has advised clients on complex financing transactions, including corporate finance, acquisition finance, leveraged buyouts, and securitizations, among others. He has acted as counsel to clients on structuring financing transactions, negotiating security packages, and a wide variety of agreements.

Experience

International financial institution: Acted as local counsel to the Client as lender in two senior secured credit facilities granted to Nugil S.A.S. and JGDB Holding S.A.S. to fund the acquisition of common shares of Grupo Nutresa and Grupo Sura.

• Avianca Holding S.A.: Acted as local counsel to Avianca Holding S.A. and its subsidiaries in a super-priority debtor-in-possession term loan agreement granted to Avianca Holding S.A. by a group of lenders. Amount of the transaction: US$1.7 billion.

• PNC Bank: Acted as local counsel to PNC Banks as lender in a senior secured credit facility and a revolving credit facility granted to Tecnoglass Inc. and its subsidiaries. Amount of the transaction: US$350 million.

• CAF: Acted as local and transactional counsel to CAF as lender in unsecured credit facilities granted to local banks. Amount of the transaction: US$1.045 billion.

• International Finance Corporation: Acted as local and transactional counsel to IFC as lender in credit facilities, revolving credit facilities, investment agreements, among others. Amount of the transaction: approx. US$800 million.

• MUFG: Acted as local counsel to MUFG in an unsecured credit facility granted to Sun Chemical LLC and its subsidiaries. Amount of the transaction: US$50 million.

• BBVA USA: Acted as local counsel to PNC Banks as lender in a senior secured credit facility and a revolving credit facility granted to Tecnoglass Inc. and its subsidiaries. Amount of the transaction: US$300 million.

• Coöperatieve Rabobank U.A.: Acted as local to the lenders in a syndicated sustainability-linked loan facility to multinational coffee merchant Sucafina. Amount of the transaction: US$400 million.

• Gran Tierra: Acted as local to the borrower loan facility to Gran Tierra. Amount of the transaction: US$150 million.

• Frontera: Acted as local counsel to the borrower in a secured dividend loan granted by Macquarie Bank Limited to refinance existing indebtedness and for project-related costs for the constructions or development of certain projects. Amount of the transaction: US$150 million.

• Accial Capital: Acted as local counsel to the lender in synthetic credit facilities structured as a securitization for the origination of corporate credit cards and consumer loans. Amount of the transaction: US$250

• Confidential: Acted as local and transactional counsel in four credit facilities to finance the acquisition of articulated buses. Amount of the transaction: US$56 million.

• IDB Invest: Acted as local counsel to IDB Invest in a mezzanine facility granted to Selina Global Services Spain SL and its subsidiaries. Amount of the transaction: US$50 million.

• IDB Invest: Acted as transactional counsel to IDB Invest as lender in a long-term credit facility to Air-E S.A.S. (one of the most important energy providers in Colombia). Amount of the transaction: COP$180 billion.

• Private Equity Funds: Acted as counsel to certain private equity funds in some credit facilities to finance the acquisition of projects and companies. Amount of the transaction: COP$200 billion.

• Banco de Bogotá, Banco de Occidente: Acted as counsel to Banco de Bogotá and Banco de Occidente in a senior loan granted to Concesión Sabana de Occidente. Amount of the transaction: COP$550 billion.

• United States International Development Finance Corporation: Acted as local counsel to DFC as lender in a credit facility agreement granted to finance the expansion of a large-scale sustainable forestry plantation. Amount of the transaction: US$22 million.

• Azteca Comunicaciones: Acted as counsel to Azteca Comunicaciones as borrower in a credit facility agreement. Amount of the transaction: approx. US$47 million.

• BBVA Securities Inc. and Merril Lynch: Acted as local counsel to the initial purchasers in Banco de Occidente's inaugural placement of subordinated notes in the international market: Amount of the transaction: US$175 million.

• SVI: Acted as local counsel in the acquisition of Mineros shares in the Colombian Stock Exchange and in the Toronto Stock Exchange.

• Confidential: Acted as local counsel to the lenders in a credit facility agreement to fund working capital expenses. Amount of the transaction: US$75 million.

• Confidential: Acted as counsel in the incorporation process of several regulated Colombian financial entities.

• Confidential: Acted as local counsel to the borrower in a secured credit facility to fund the indirect acquisition of oil and gas assets located in Colombia. Amount of the transaction: US$70 million.

• Confidential: Acted as counsel to the lender in certain refinancing agreements to finance OPEX and CAPEX requirements and facilitate strategic cash-outs in toll road concessions. Amount of the transaction: US$200 million.
