Max Rosenberg is a partner in the Investment Funds & Private Capital practice at Paul Hastings and is based in the firm’s New York office. He focuses his practice on representing private fund sponsors in all aspects of structuring, documenting, offering, negotiating and operating private funds and related investment vehicles, including real estate, credit, infrastructure and private equity funds, as well as co-investment vehicles and continuation vehicles.

Mr. Rosenberg develops fund structures and terms on behalf of fund sponsors ranging from large financial institutions to leading middle market fund managers along with select emerging fund managers, and regularly negotiates with leading public and private pension plans, sovereign investors, insurance companies, foundations, endowments, fund-of-funds, private wealth channels and other institutional investors from around the world. He also has experience representing investment managers and institutional investors in connection with fund secondary transactions including continuation vehicles and other recapitalizations, and structuring upper-tier arrangements including management company transactions such as minority sales, GP stakes and other revenue sharing arrangements.
