Guerrero Olivos assisted publicly traded corporation Telefónica Chile S.A. in a USD77 million capital increase, along with the registration of the new shares issued with the Financial Market Commission and its placement.

Empresas Carozzi, acquires premium ice cream brand San Francisco

Guerrero Olivos assisted Empresas Carozzi S.A. in the acquisition of Lecherías Loncomilla Limitada, a company that since 1975 has been engaged in the production, marketing, and distribution of ice cream for the premium segment, under the San Francisco brand.

Empresas Carozzi, the largest Chilean food company. Local bond offering

Guerrero Olivos assisted Empresas Carozzi –the largest Chilean food company– in a USD55 million local bond offering. Our capital markets team worked in the issuance, registration, and placement. Banchile acted as placement agent and Banco de Chile/Citi acted as financial advisor.

FEMSA. Sale of 16 convenience stores to Enex

Guerrero Olivos represented FEMSA in the sale of 16 convenience stores operating under the trademarks Oxxo and OK Market, to Inversiones Enex S.A., affiliate of the Luksic Group holding, licensee of Shell in Chile, which operates convenience stores in Chile under trademarks UPA and UPITA.

FEMSA acquired 100% of the shares of OK Market S.A., formerly owned by SMU Holding, company which currently operates more than 120 convenience stores in Chile.

Telefónica Group. Data Centers contribution to Nabiax/Asterion Industrial Partners

Telefónica Infra agrees with Asterion Industrial Partners the acquisition of a 20% stake in Nabiax in exchange for the contribution of four Data Centers. Guerrero Olivos represented Telefónica in Chile.

Capital increase in IACSA. Agribusiness arm of Carozzi Group

Guerrero Olivos represented publicly traded corporation Inversiones Agrícolas y Comerciales S.A., the agribusiness arm of the Carozzi Group, a leading food & beverages producer in Chile, Argentina and Perú, in a USD12 million capital increase.

Sale of 60% of InfraCo SpA, owned by Telefónica, to KKR Alameda Aggregator L.P.

Guerrero Olivos represented Telefónica Chile in the sale of 60% of the shares of its subsidiary, InfraCo SpA, to KKR Alameda Aggregator L.P.

Molitalia. International Financing

Guerrero Olivos represented a Molitalia S.A., Peruvian branch of Empresas Carozzi S.A., in a USD20 million financing granted by BCI, Miami Branch bank.

Empresas Carozzi S.A. acquired Bresler and Melevi from Unilever

Guerrero Olivos represented leading food company in the market, Empresas Carozzi, in the USD 21 million acquisition of all the assets from Unilever, for the manufacturing and commercialization of ice cream in Chile and well known ice ream brands Bresler and Melevi.

Guerrero Olivos represented 12 listed companies in the implementation of remote shareholders meeting including technological resources for the participation of the shareholders and remote voting mechanisms.

Telefónica Group. Transfer of its financial portfolio to Banco Santander Madrid

Guerrero Olivos assisted local affiliates, Telefónica Chile and Telefónica Móviles in the transfer of its financial portfolio worth approximately USD80 million to Banco Santander Madrid.

Empresas Carozzi

Guerrero Olivos assists long standing client ECSA, in the registration of three series of bonds and further placement against two lines of bonds previously registered on 2017 with the Chilean local Financial Market Commission, former Securities and Exchange Commission.

Rabobank, New York Branch and Trammo Group refinancing

Guerrero Olivos assisted Rabobank, New York Branch, as Arranger, Agent and Collateral Agent, and Banks party thereto, and Trammo Group in the refinancing of existing indebtedness of Trammo Group, a pledge granted by Trammo Chile Limitada, and full legal opinion granted for the transaction.

Empresas Carozzi acquired Bonafide.

Empresas Carozzi Group retained Guerrero Olivos for the acquisition of 99,93% of the shares of Bonafide a company incorporated under the laws of Argentina which is devoted to the production and commercialization of coffee, snacks and candy.

Gas Natural Fenosa Group. Corporate restructuring process

Guerrero Olivos assisted Compañía General de Electricidad (“CGE”) in the first stage of Gas Natural Fenosa Group’s corporate restructuring process worth US$760 million.

Telefónica Group. Corporate reestructuring process

Guerrero Olivos assisted Telefónica Group in a major corporate restructuring process worth EUR3.5 billion. The restructuring was made to simplify the corporate structure, reduce costs and move forward to a more efficient business platform.
