1.      Deal Description

Guerrero Olivos represented a Molitalia S.A., Peruvian branch of Empresas Carozzi S.A., in a USD20 million financing granted by BCI, Miami Branch bank, in its equivalent in Peruvian Soles. Our banking & finance, and capital markets teams were in charge of the whole transaction, including the financing, collateral and the cross currency swap agreement.

Complexity to this transaction was the amount of jurisdictions involved (Perú, Chile and New York). The credit agreement is governed by the Laws of Perú, the collateral were granted under Chilean Law and the cross currency swap agreement under the laws of the State of New York. Therefore, we had to work to make all the agreements compatible in order to achieve a successful closing of the transaction.
