1. Deal Description
Guerrero Olivos assisted Empresas Carozzi S.A. in the acquisition of Lecherías Loncomilla Limitada, a company that since 1975 has been engaged in the production, marketing, and distribution of ice cream for the premium segment, under the San Francisco brand.
The transaction was structured in different stages, subject to several condition precedent. In addition, the clearance of the Chilean Antitrust Office was obtained prior to closing.
Relevance to the transaction is that it allows our client consolidating its third market position and complement the current offering in the ice cream segment, a market in which Carozzi landed in 2020 with the acquisition of Bresler (in which Guerrero Olivos also participated as Carozzi’s advisor).
Our M&A team oversaw the whole transaction with the support of our environment, real estate, dispute resolution, regulatory and labour practice groups.
