Head of the firm’s regulatory practices, Ms. Hough represents clients in the tax aspects of mergers, acquisitions and divestiture transactions, including spin-offs, debt and equity offerings, corporate and partnership restructurings, and joint ventures. She advises clients in financial services on insurance-related corporate transactions; and regularly consults on tax matters related to corporate restructurings. In the tax controversy area, she has handled matters during all phases of IRS audits and appeals, including issues involving leasing, economic substance and business purpose doctrines, cross-border financing, business valuations and other transactions.
