Provides counsel on nearly all aspects of non qualified deferred compensation plans and other executive compensation arrangements, equity and equity-based plans and arrangements, and matters relating to investments of plan assets under ERISA (including ERISA fiduciary and prohibited transaction matters); and employee benefit, executive compensation and other labor and employment aspects of merger and acquisition transactions. Also provides counsel with respect to qualified retirement plans, health plans and other welfare plans. Such counsel is provided to boards of directors, senior executives and legal departments regarding these matters and related SEC filings, as well as to compensation committees regarding executive compensation matters. Clients range from large international corporations to middle-market to small companies, public and private, and partnerships and limited liability companies.
