ELIZABETH TABAS CARSON represents alternative capital sources (including private credit funds, hedge funds, insurance companies and asset managers), traditional banks, and investment banks, as well as public, private and non-profit borrowers, financial sponsors and their portfolio companies on a wide range of complex domestic and cross-border leveraged finance, fund finance, special situations and bespoke hybrid capital transactions. Liz has extensive experience in structuring and negotiating private financings, secured and unsecured lending transactions, cash flow and asset-based leverage facilities, merger and acquisition financings, mezzanine and second lien financings, debt restructurings and workouts, recapitalizations, SPAC and de-SPAC support transactions, fund financings and other structured finance transactions, and other bespoke debt and equity liquidity solutions. Liz’s practice focuses on regulated and complex debt offerings in private and public markets with a particular focus on asset managers, healthcare, life sciences, technology, intellectual property, concentrated NAV financings, and other transactions involving regulated, esoteric and distressed asset classes. Liz currently serves at the Chair of the American Bar Association Fund Finance Sub-Committee and is a fellow of the American College of Commercial Finance Lawyers
