Dilmun is a partner* of Walkers (CI) LP and as part of the Investment Funds & Corporate Practice Group, he advises on funds, corporate and fintech/regulatory matters.

He helps clients establish and restructure investment funds in various asset classes including private equity, real estate, infrastructure, collateralised loan obligations, digital assets, and open-ended hedge funds.

His expertise also covers private equity transactions, mergers and acquisitions, and capital markets including Jersey companies listing on various exchanges and securitisation transactions.

On regulatory matters, Dilmun advises on all aspects of financial services laws and regulations, including licensing of fund managers and advisers, funds laws, insurance law, anti-money laundering and novel asset classes including digital assets and "tokenisation".

Dilmun is recognised by Chambers & Partners, Legal 500, and IFLR1000 for the quality of his advice in respect of investment funds, corporate and fintech matters.

Dilmun is a member of the Law Society of England & Wales.

Dilmun is an elected committee member of the Jersey Funds Association, and a member of the marketing sub-committee. In these roles he is at the forefront of the development of the Jersey funds industry, and is actively involved in the development of new laws and products including in relation to limited partnerships, Jersey Private Funds, LLCs and ESG.

Dilmun is a founding member of the Jersey Digital Assets Working Group.

Work Highlights

Corporate/private equity:

- Advised Universities Superannuation Scheme on its £405m acquisition of more than 3,000 shared ownership homes from Blackstone and Regis.

- Advised Equitix and the sellers of a EUR2.5bn stake in Electricity North West to Iberdrola S.A., valuing the business at EUR5bn. Walkers advise Equitix on sale of UK power network operator Electricity North West to Iberdrola

- Advised Zodia Markets on its acquisition of Elwood Capital Management, a digital asset OTC trading business. Walkers advise on the acquisition of Elwood Capital Management Ltd by Zodia Markets

Regulatory & Fintech:

- Advised LSEG-backed Floww Markets on the launch of a revolutionary fintech platform connecting investors to private market investments. Walkers' Jersey advises Floww on platform launch to connect VCs, founders and investors

- Advised Backed Finance on the launch of Jersey's first "real world asset" Tokenisation platform, tokenising listed shares and other financial securities. Walkers advises on Jersey's first tokenisation platform

- Advised Bank Frick on the launch of a white-labelled securitisation platform, securitising a range of assets (including digital assets, liquid securities and fund interests) for different asset managers. Walkers Jersey team advises Bank Frick on the launch of platform involving the securitisation of digital assets and issue of AMCs

- Supported aosphere with the Jersey aspects of their Rulefinder Crypto Assets Guide. Walkers contributes to aosphere's Rulefinder Crypto Assets and MiCA Snapshot Guides

Asset management/investment funds:

- Advised Defiance Capital with the launch of one of Jersey's first open-ended digital assets funds. Walkers' funds team advise on one of the first open-ended crypto funds established in Jersey

- Jersey counsel to a large number of private investment funds investing in real estate, private equity, infrastructure, debt/CLOs, venture capital, digital assets.

- Jersey counsel to a number of Jersey regulated asset managers.

- Walkers advises USS on £405m acquisition of more than 3,000 shared ownership homes

Experience

Before joining Walkers in 2020, Dilmun was in the Funds team of another firm in Jersey where he spent three years building their Corporate and Investment Funds Practice Group. He qualified in 2009 at Herbert Smith and was in their London office for five years. This included a six-month secondment to Bell Gully in New Zealand. He moved to another firm in Jersey in Jersey in 2012.
