Brandon Van Dyke focuses his practice on mergers and acquisitions and corporate and securities law matters. Mr. Van Dyke has represented companies and boards of directors in a number of significant U.S. and cross-border mergers, acquisitions, takeovers (both negotiated and contested), spin-off's, reverse Morris trust transactions, leveraged buyouts and other corporate matters. In addition, he has advised clients with respect to responding to unsolicited acquisition proposals, stockholder activist approaches and other corporate preparedness matters, as well as board governance, SEC reporting obligations and other corporate and securities law matters. He has also provided transactional advice to companies implementing corporate restructuring plans and advised financial advisors in various public merger and acquisition transactions, both negotiated and unsolicited. Industries in which Mr. Van Dyke has had substantial transactional involvement include chemicals, media and entertainment, software, mining and metals, pharmaceuticals and health care.
