Alison is a corporate partner with over 20 years' experience in M&A, sale processes, equity capital investments and AIM and Main Market transactions, including IPOs and secondary issues, takeovers acting for the target company and the bidder. Starting off her career in London, Alison is one of the few corporate lawyers based in Leeds with plc advisory experience and expertise on flotations and other capital market transactions, enabling clients to move through the early growth stages and investment rounds with the breadth of options available to them.

Alison is a ranked individual in Chambers and recent client feedback through Thomson Reuters as “astute” with “exceptional drive and delivery of results”.

Career

Work highlights include leading on the following transactions advising:

• The Circular Economy Developments Limited on establishing and structuring its joint venture with global investor and asset manager, abrdn, to develop a state-of-the-art anaerobic digestion facility for Toyota. The facility, which will convert food waste into biomethane and green fertiliser, is funded with debt and equity from a newly established abrdn fund, backed by debt providers Deutsche Bank and Rubicon. Other advisers include Ashursts, DLA and pwc.

• Inspiration Healthcare Group plc on its successful equity fundraising round with institutional investors, its director and senior management subscription and a retail offer to existing retail shareholders, alongside related finance and banking matters and AGM timetable. Our role was lead legal adviser on the funding round and all placing documents, circular and the retail offer. Other advisers include Panmure Liberum, Winterflood Securities and Bird & Bird.

• Kromek Group plc on its corporate agreement with Siemens Healthineers valued at US$37.5 million as lead legal adviser on the sale process and on the corporate and commercial transaction documents, including various regulatory and US and UK banking matters. Other advisers include Linklaters.

• Tyman plc on its US$200m acquisition from Melrose Industrials and its related open offer and move to the main market of LSE. Other advisers include Rothschild and Simpson Thacher.

• Tombola Limited and its shareholders on the sale of the Tombola group to Flutter Entertainment plc for over £450m. Other advisers include Freshfields.

• Revolution Beauty on its pre-IPO share capital reorganisation, partial exit for its US private equity backer and its IPO with a market capitalisation in excess of £500m. Other advisers include Zeus Capital and Memery Crystal.

• SimplyBiz (now Fintel) on its IPO to AIM and subsequent acquisitions and fundraises. Other advisers include Zeus, Walker Morris,

• Nicelabel International Group and its Slovenian associated companies on its sale to Riverside Capital Partners and roll-over for management. Other advisers include Travers Smith.

• Communisis plc on its £153.8m takeover by New York-based payment solutions firm OSG Group Holdings Inc and its scheme of arrangement. Other advisers include Stifel and US law firm.

• Yule Catto on its £440m class 1 acquisition of German-headquartered international group and its supporting rights issue and debt funding.

• Sports Café on the insertion of a new holding company and internal restructuring.

• Hardys and Hanson plc on its £280m public takeover by Greene King.

• Turner & Townsend plc on its pre-IPO reorganisation and £220m proposed IPO to the main market.

Personal

Alison has worked hard as a full time lawyer with three children, being promoted as corporate partner with Pinsent Masons in 2008, with a young family, and from 2013 to 2023 with a national leadership role in Eversheds Sutherland public advisory team. Actively mentoring working women with families and promoting diversity at a time when there were more divisions in the corporate private practice and challenging the use of gender stereotypes in legal documents and around the boardroom table.
