Banking:

Karatzas & Partners advises on all aspects of banking and finance, including project finance, structured finance, secured and syndicated loan transactions, as well as derivatives and other OTC or listed products and securitisation.

Mergers & Acquisitions:
The firm has advised many international clients on M&A transactions in Greece.

Securities:
The firm advises both Greek and international clients active in Greece on all aspects of securities law, such as initial public offerings, regulation of business conduct of securities firms and listed companies, bond issues and takeover bids. The firm routinely represents its clients before the Hellenic Capital Market Commission and the Athens Exchange.

Corporate:
Karatzas & Partners advises on issues such as the establishment of companies and joint ventures in Greece, spin-offs of Greek companies, stock option schemes, marketing law and due diligence. It is also involved in the running of the day to day legal affairs of a number of major Greek companies with international activities.

Competition:
The firm advises international clients on all aspects of Greek and EU competition law such as merger control, vertical restraints, abuse of dominant position and concerted practices.

The firm has been involved in some of the major transactions in Greece in the last few years with a strong international element.
Examples of recent projects include:
■ The firm is advising National Bank of Greece with regards to a two-stage auction process for the securitization of receivables of non-performing mortgages and loans granted to large corporates, small and medium-sized enterprises (SMEs) and small businesses, primarily secured with total estimated exposure of approximately €7 bn (Project Frontier) and consisting of more than 100,000. This is a milestone transaction for the National Bank of Greece, being its largest securitisation after the financial crisis and the most critical step for the implementation of its NPL reduction plan.
■ Advised National Bank of Greece on the first direct issuance of Green Senior Preferred Notes (MREL Eligible) under the €5 billion Global Medium Term Notes Programme.
■ The firm advised a Spanish multinational group of companies active in the fashion and beauty sectors, with respect to the acquisition of 100% of the shares in Apivita S.A., a Greek-based group of companies with significantly expanding operations in Europe and in Asia.
■ Advised National Bank of Greece on the bank’s disposal of a portfolio of c. 2,800 non-performing, predominantly secured, corporate contracts (Project Icon).
■ Advised Eurobank Ergasias S.A. (Eurobank), in Project Cairo, which constitutes the core part of an innovative corporate transformation plan of Eurobank and includes the merger with absorption by Eurobank of Grivalia Properties S.A., a multi-asset securitization of NPEs (namely three securitisations of residential mortgage loans, consumer and corporate loans) of gross book value of c. € 7.5 billion and a hive down process with the establishment of a new legal entity which will become ipso jure the universal successor of the activities transferred to it. The hive down contemplated as part of the transaction is the largest and most complex hive-down ever performed in Greece, making use for the first time in a significant transaction of the provisions of recent law 4601/2019 for hive-downs through universal successions.
■ The firm is advising Public Power Corporation S.A. (PPC) in the process initiated for the sale of a minority stake in the share capital of the Hellenic Εlectricity Distribution Νetwork Operator S.A. (HEDNO), via an international competitive tender. This transaction constitutes an important step in the Greek energy landscape, as it will allow PPC to improve its financial position and HEDNO to implement its modernization and digitalization strategy for the electricity distribution network.
■ Represented doValue SPA (DV) in respect to the Share Purchase Agreement (SPA) it signed with Eurobank Ergasias S.A. (ERB) on 19 December 2019 regarding the acquisition by DV of 80% of the voting shares of the licensed loan servicer and subsidiary company under the name Eurobank Financial Planning Services (“FPS”). In addition, the firm advised doValue regarding the implementation of a secured acquisition financing structure of an amount of approx. EUR €373,500,000 through the issuance of a high yield bond and the structuring of intercompany debt/equity arrangements for the purposes of achieving a post completion debt push down (Project Europe). Moreover, Karatzas & Partners advises doValue SPA on all Greek corporate, regulatory and securitization law aspects relating to the transaction, including in particular the receipt of approval by the Bank of Greece on all aspects of the transaction.
■ Advised SAZKA Group a.s. on the Greek law aspects of a EUR 640 million senior secured loan facility from a consortium of Czech and international lenders, including the related intercreditor agreement and the Greek law security documents. The proceeds will be used to refinance bilateral and syndicated facilities of SAZKA Group a.s. and its subsidiaries, as well as for corporate purposes (increasing shareholding in subsidiaries, investing in new companies etc.) and for the payment of related fees.
■ Advising Athens International Airport in the financing of certain capex projects and in funding working capital to address the effects of the COVID-19 pandemic.
