Firm Overview:
Established in 1989, the firm is probably the largest in Slovenia law in terms of the number of fully qualified lawyers specialising in different aspects of commercial and corporate law and providing services solely to legal entities such as companies, financial institutions and governments. The firm is recognised by peers and clients alike, as a market leader in corporate and commercial law, litigation, banking and finance, pharmaceutical law, competition and M&A transactions. The client portfolio includes, among others, the Slovenian Motorways Company as the biggest investor in Slovenia, several domestic and foreign investment and commercial banks, leasing companies, automotive sector corporations, construction companies, insurance corporations, trade associations, pharmaceutical companies, state and private owned funds and selected individuals.

Main Areas of Practice:  

Banking & Finance, Capital Markets:
The firm’s capital markets team has extensive equity and debt experience, having acted for managers and issuers in a variety of transactions. The banking and finance team with its highly specialised individual lawyers, provides premium service in all finance and banking matters. In the light of financial crisis, the firm’s banking and finance team provided its services to several sellers and purchasers of non-performing loans in numerous complex transactions (including Bank of America Merrill Lynch, Raiffeisen and HETA Asset Resolution). The team also acted as head legal counsel to Slovenian State bad bank entity (Bank Assets Management Company) with respect to the complexities revolving around the insolvency of T-2, a Slovenian triple play provider. One of the more prominent highlights of the capital markets team’s work was advising a banking group on the issue of over EUR 100 million pass-through notes by its local subsidiaries and subsequent execution of pass-through agreements. This is widely considered as ground-breaking work in Slovenia as previously foreign SPVs were used in similar deals and the work required close cooperation with the Bank of Slovenia.

Corporate/M&A:
The firm has been historically involved in all major M&A (including joint venture and hybrid structure) transactions in Slovenia and has an unrivalled experience on M&A market. Its M&A capacity is coupled with its competition specialisation, ensuring smooth regulatory clearance processes. The recent highlights of the firm’s M&A work include advising:

■ Generali CEE Holding BV on their acquisition of Adriatic Slovenica d.d., one of the largest deals of 2019, coming in at EUR 245 million
■ Centrice Group on their sale of real estate portfolio with approx. value of EUR 400 million
■ US real estate fund on acquisition of a share in Slovenian technical goods retailer and on acquisition of 15 DIY retail centers

Litigation & Arbitration:
The firm is regularly involved in the litigation and arbitration of commercial disputes arising from various business transactions on behalf of domestic and foreign corporate clients. The arbitration team acts as lead counsel for the Slovenian investors, Elektrogospodarstvo Slovenije, d.o.o. and HSE (Holding of Slovenian power plants) in ICSID investment treaty arbitration against Bosnia and Herzegovina for the compensation exceeding EUR 700 million, making it in the most high profile regional cases in the field of international investment law Rojs, Peljhan, Prelesnik & partners is still the only Slovenianbased counsel, acting in front of ICSID.

Construction/Real Estate:
The firm offers extensive legal services to developers, construction managers, contractors, and other parties involved in the construction business. The construction law practiced by the firm’s lawyers combines litigation skills with a business-based understanding of construction contracts and transactions. The law firm acted as a counsel to Corwin in two large real estate development projects (residential building with more than 200 units and commercial building with app. 60,.000 m2 of lettable area).

The team of lawyers with international competition background, led by Tomaž Ilešič has advised clients in some of Slovenia’s most complex merger clearance procedures and in relation to various abuses of dominant positions and restrictive agreements’ proceedings.
