Justin Browder is a Partner in Simpson Thacher’s Registered Funds and Asset Management Regulatory and Enforcement Practices. He counsels investment advisers, private and registered investment funds, broker-dealers, and trading and investment platforms on all aspects of the federal securities laws. Justin has substantial experience advising private and registered fund managers and wealth management and separately managed account program sponsors concerning a wide variety of operational, transactional and adversarial matters, with a particular emphasis on issues arising under the Investment Advisers Act of 1940 and the Investment Company Act of 1940. In addition to ongoing regulatory counseling, core components of Justin’s practice include representing advisers, funds and wealth management firms in SEC examinations and enforcement proceedings and representing financial sponsors and strategic investors concerning mergers, acquisitions and spin-outs of asset management businesses. Justin also regularly advises alternative asset managers on fund formation matters involving complex private and registered fund structures. Additionally, Justin is a recognized practitioner in the area of digital assets, where he advises asset managers and exchange platforms on compliance and operational matters.
Career
Practicing since 2009; joined Simpson Thacher as a partner in 2025. Prior to joining Simpson Thacher, Justin was a partner at another international law firm. He also served as Assistant General Counsel at a large alternative asset management firm in New York where he advised on a range of regulatory and transactional matters.
