Clients turn to Joanna Horsnail for representation on a variety of complex construction transactions in North America and South America. Her experience includes negotiating design and construction contracts for all types of projects, including infrastructure development, data centers, traditional power projects, renewable energy projects, battery plants, industrial and manufacturing facilities, multi-family housing, hospitals and healthcare facilities, commercial projects, hotels and resorts, sports stadiums, convention centers, and other public and private infrastructure projects.

Joanna represents public and private owners, developers, lenders, and contractors regarding the design, construction, development, financing, acquisition, and disposition of facilities, including alternative delivery and public-private partnership projects. She negotiates and prepares EPC contracts, design-build, progressive and modified design-build, other design and construction agreements, concession agreements, equipment and materials supply contracts, sponsorship agreements, naming rights agreements, leases, service agreements, purchase agreements, operation and maintenance agreements, consulting contracts, and various project management agreements.

Joanna advises on matters of procurement and options for procurement methods, subcontracting, project risk allocation, interfaces between different contracts, and all aspects of contract negotiation and implementation. She represents clients with respect to change orders, bid and performance bond matters, delays, force majeure, lien claims, warranty claims, construction defects, and dispute resolution in domestic and international tribunals.

Joanna also has experience in project financing through various vehicles, including municipal financing, government incentives, and grants. Joanna serves clients on construction-related aspects of project finance transactions, including representing lenders and sponsors.

Joanna is the managing partner of the firm's Chicago office.
