Practice Areas

Holly Loftis is a partner in Paul Hastings’ Fund Finance practice and is based in the firm’s Charlotte office. She is a veteran in the fund finance space, with over 15 years of experience advising lenders on the structuring, negotiation and documentation of complex and cross-border subscription credit facilities and other secured and unsecured lending arrangements, including management fee lines, GP lines, employee co-invest loans and SBIC loans.

Holly’s diverse client base and wide range of experience spans the fund finance market, including counseling funds entering bilateral subscription lines, VC firms and funds sponsored by emerging managers, and institutional investors and financial institutions completing club and broadly syndicated subscription lines for transactions valued in excess of $5 billion. Dating back to 2008, Holly has advised on some of the largest subscription facilities on the market and worked across from some of the most prominent global asset managers.

Holly’s practice encompasses diligence and problem-solving for issues arising under the documentation for private investment vehicles, including the private investment vehicle’s governing agreement, any investor-side letters or other relevant fund contractual arrangements, and investor subscription documentation. Holly is a go-to attorney for subscription lines of credit for bespoke fund structures that fall outside the lines of a traditional commingled fund, including separately managed accounts, joint venture vehicles, continuation funds, open-ended funds and rated funds. Clients routinely call on Holly for her precise, commercial and collaborative approach to dealmaking.

Holly was a critical resource to her clients for many years when regulators were phasing out LIBOR and during the regional banking crisis of 2023.
