Ed Razim is a Partner in the Firm’s Houston office and is the Chair of the Firm's Tax Department and Employee Benefits practice group. Ed consults with publicly traded companies regarding executive compensation design, documentation, and disclosure issues and frequently works on mergers and acquisitions matters, including negotiating purchase agreements, navigating diligence issues (such as Code Sections 409A and 280G issues), drafting transition services agreements, and assisting with a variety of compensation agreements (e.g., transaction bonus, equity, employment, and retention agreements). Ed also has extensive experience addressing compliance issues for employee benefit plans, equity plans, and deferred compensation plans, including consulting with employers and plan administrators on plan design and compliance matters; resolving unique plan design issues faced by controlled groups of corporations or businesses; and negotiating with the Internal Revenue Service, U.S. Department of Labor and Pension Benefit Guaranty Corporation on a variety of audit and compliance issues.
