David Herman’s practice focuses on complex real estate transactions across all asset classes, with particular emphasis on high-value, multi-faceted deals requiring the integration of joint venture, M&A, financing and restructuring elements. He is particularly valued for his ability to navigate complex deal dynamics, align stakeholders and deliver practical, solution-oriented advice in time-sensitive situations. Clients rely on him not only for execution, but also for structuring strategy and solving problems in transactions where multiple interests and constraints must be balanced.

He represents leading real estate investors, developers, asset managers and private equity sponsors in connection with acquisitions and dispositions, joint ventures, recapitalizations, financings and restructurings. David is frequently called upon to lead transactions involving multiple stakeholders and layered capital structures, where he serves as lead counsel coordinating across legal disciplines and advising on both structuring and execution.

David’s clients include Madison International Realty, Brookfield, Aman Hotels/OKO Group, LCOR and Monday Properties, among others, as well as investment firms such as Blackstone, TPG and Sixth Street on a wide range of real estate-related matters.

He has played a leading role in a number of significant and complex transactions, including advising Brookfield in its acquisition of GGP Inc. and its $11.4 billion acquisition of Forest City Realty Trust Inc. He was also integrally involved in Lehman Brothers’ chapter 11 proceedings, where he helped implement strategy for tens of billions of dollars of real estate-related investments globally, including the $16 billion sale of Archstone Enterprise LP.

Career

David joined the firm in 2025 from another major international law firm and has been a partner since 2010. J.D., Yeshiva University, Cardozo School of Law (2000); B.S., Yeshiva University (1997).
