Practice Areas

Will Pickens advises clients on a variety of transactional matters, with a focus on energy- and infrastructure-related lending and capital markets transactions. Since 2014, Will has represented borrowers entering into credit facilities, secured and unsecured, with both private and governmental lenders, in total principal amount over $7 billion and has represented corporate issuers and their underwriters in the issuance of debt securities totaling over $5 billion in aggregate principal amount, through public offerings, Rule 144A and Regulation S placements and 4(2) private placements.

Will also has experience advising energy-industry clients on acquisitions, project development and various commercial transactions and has developed a significant practice representing clients in economic development incentives transactions for energy and industrial facilities, real estate developments and other major capital projects. Outside of financing transactions, Will’s experience ranges from representing financial and industry investors in the acquisition and construction of, and joint ownership arrangements with respect to, electric generation and transmission assets to representing a state university system on all aspects of a privatization of student housing assets on several of its campuses, from structuring the competitive bidding and negotiation process through financial closing.
