Vanessa Franyutti Johnstone

Vanessa Franyutti is a founding partner of Nader Hayaux Goebel with more than 20 years of experience advising developers, sponsors, investment funds, financial institutions and domestic and multinational companies on many of Mexico's most significant infrastructure, energy, real estate and public-private partnership transactions.

Her practice focuses on the structuring, development, financing and implementation of large-scale infrastructure and real estate projects, including energy, transportation, hospitality, industrial, mixed-use, commercial and social infrastructure developments. Vanessa advises investors and developers throughout the entire lifecycle of a project, from acquisition, joint venture structuring and financing to construction, operation, expansion and exit. She regularly negotiates EPC, construction, concession, operation and maintenance, financing and joint venture agreements, as well as trust structures and other key project documentation.

Throughout her career, Vanessa has advised on transactions involving complex coordination among private investors, financial institutions, governmental authorities, operators and other strategic stakeholders, particularly in regulated industries and real estate developments.

Vanessa is recognized for combining legal and commercial sophistication with sound strategic judgment. Clients value her ability to lead complex negotiations, structure efficient legal solutions and execute high-value transactions with a practical approach focused on risk mitigation and value creation. She is also actively involved in promoting female leadership within the legal profession as a founding member and board member of Abogadas MX. Vanessa has been consistently recognized by Chambers & Partners and other leading legal directories for her work in Projects and Real Estate.

Vaness received her law degree (with honours) from Instituto Tecnológico Autónomo de México (ITAM) and an LL.M. from The University of Chicago Law School.
