Saša Sodja is a partner and head of the corporate and M&A practice at CMS Slovenia, with nearly twenty years of experience advising domestic and international clients on complex transactions and corporate law matters. She supports clients throughout the full deal lifecycle, from structuring and negotiation to closing and post‑merger integration, with a particular focus on private and public M&A, joint ventures and corporate reorganisations.
She regularly advises bidders, targets and shareholders on acquisitions, mergers, spin‑offs and shareholder arrangements, including the preparation and execution of key shareholder meetings. Her practice also covers ongoing corporate governance, compliance and directors’ liability, guiding boards and management through both regulatory and strategic challenges.
Saša is well‑versed in drafting and negotiating a wide range of commercial contracts, including sales, agency and service agreements, commercial leases, licences, and supply and manufacturing contracts. She is particularly appreciated for her knowledge of advertising law, distribution systems, product launches, liability and supply chain arrangements, frequently acting for clients in the retail, telecommunications and automotive sectors.
