Mr. Santosh Janakiram is a Senior partner and head of Cyril Amarchand Mangaldas’ Projects Group and previously was a partner in Amarchand & Mangaldas & Suresh A. Shroff & Co. (AMSS), India’s largest law firm. He has worked in AMSS/CAM’s Mumbai office since 2001.
Santosh has extensive experience in banking, project financing, acquisition financing, structured financing and private equity and represents developers, sponsors, lenders and contractors in infrastructure and project finance transactions. Santosh has advised on various bond and structured debt financings. He also leads the firm’s renewable energy practice advising developers, investors and lenders in one of the leading practices in the sector in India.
Santosh has acted on a number of landmark transactions this year:-
• Represented the consortium of lenders on extending green loan facilities to certain subsidiaries of Adani Green Energy Limited by way of an ECB Facility and an offshore guarantee facility.
• Represented the consortium of lenders in relation to the extension of financial assistance to Cube Highways Trust (Borrower) by way of rupee term loan facilities, to be utilized, inter alia, for the purpose of refinancing existing loans and/or the promoter/ sponsor debt, in relation to identified special purpose vehicles.
• Represented India Grid Trust, a public listed infrastructure investment trust in its transaction to acquire the units held by Terra Asia Holdings II Pte. Ltd. (Terra Asia) in Virescent Renewable Energy Trust (VRET), in relation to the due diligence of the power purchase agreements, EPC contracts, operation and maintenance contracts and material regulatory approvals of around 16 SPVs of VRET engaged in solar power generation across multiple states in India.
