John has advised on initial public offerings by Anaplan, AZEK, Columbia Sportswear, Confluent, CoSine Communications, Credo, Data Domain, FibroGen, Hortonworks, Levi Strauss & Co., Madison Air, Marvell Technology Group, Mobileye, ON24, ONI Systems, Palm, Paula Financial, Robinhood Ventures Fund I, SINA.com, Toast, Turnstone Systems, Unity Software, Universal Access, Upstart Holdings, Weave Communications and Yodlee, as well as numerous follow-on offerings, issuer private placements and private secondary share placements. John represented SoftBank in connection with its $10 billion monetization of a portion of its interest in Alibaba through the second-largest mandatory exchangeable security offering ever conducted. He advised OpenAI in its $11.9 billion strategic deal with CoreWeave to deliver AI infrastructure to OpenAI and its strategic partnership with SB Energy, as part of Stargate. John has also advised clients on a variety of corporate governance and disclosure issues, including issues relating to the governance implications of artificial intelligence, financial statement restatements, disclosure policies and procedures, non-GAAP financial measures and Regulation FD, and has participated in a number of internal inquiries and investigations.
