Recognized as a āRising Starā by Law360 and New York Super Lawyers, Jeannette Bander is a partner in Sullivan & Cromwellās New York office and is a member of the Firmās General Practice Group. Her practice focuses on a variety of executive compensation and corporate governance matters arising in private equity and public company mergers and acquisitions and other corporate transactions. She also advises a number of clients, including public and private companies and senior executives, with respect to governance, compliance and compensation matters.
Recent representations include: BNP Paribas in its $16.3 billion sale of Bank of the West to BMO Financial Group, Bosch in its $8 billion pending acquisition of the global HVAC business for residential and light commercial buildings from Johnson Controls, including 100 percent interest in its Joint Venture with Hitachi; California Resources Corporation in its $2.1 billion all-stock combination with Aera Energy; Cementos Argos in connection with its U.S. operations, Argos North America Corp.'s $3.2 billion combination with Summit Materials; Merck KGaA in its $3.9 billion pending acquisition of SpringWorks Therapeutics; NMG, parent company of Neiman Marcus and Bergdorf Goodman, in its $2.7 billion acquisition by HBC, parent company of Saks Fifth Avenue; RedBird Capital Partners in connection with Skydance Investor Groupās investment of more than $8 billion as part of Skydance Media and Paramount Globalās agreement to form āNew Paramountā; RhĆ“ne Capital and Fogo de ChĆ£o in connection with Fogo de ChĆ£oās $1.1 billion acquisition by Bain Capital Private Equity; and Symbotic in its $5.5 billion merger with SVF Investment Corp. 3, a SPAC sponsored by an affiliate of Softbank Investment Advisers, that resulted in Symbotic becoming a public company.
