Mr. Harney represents issuers and underwriters in a range of public and private debt and equity capital markets transactions.
He assists clients with public and private securities offerings, with a concentration in the power and utility sector. His experience includes SEC registered debt offerings, Rule 144A/Regulation S debt offerings, utility first mortgage bond offerings, equity-linked convertible debt offerings, common stock offerings, establishment of “at-the-market” equity programs, equity-linked offerings, preferred and hybrid securities offerings, establishment of “medium-term notes” programs and commercial paper programs, transactions with the U.S. Department of Energy’s Loan Programs Office, liability management transactions, tax-exempt offerings and remarketings of multimodal debt, 4(a)(2) private placements and dedicated utility rate securitization transactions.
He regularly advises clients with respect to financing transactions for data center development and utility grid modernization. Additionally, he has advised clients on ESG (environmental, social and governance) offerings and establishment of ESG frameworks. Mr. Harney also has experience advising clients on general corporate matters, including corporate governance, securities law compliance, mergers and acquisitions, due diligence, and preparing ’33 and ’34 Act filings.
