Zafar Jaffer

Zafar B. Jaffer is a partner in Gowling WLG's Calgary office, practising in the Corporate, M&A and Capital Markets Group. His practice includes both public and private corporate finance, securities and M&A transactions, as well as general corporate and commercial law.

He represents clients in a number of industries and takes an active interest in understanding his clients' business objectives, and works directly with them to create a strategic plan to maximize financial success by identifying development opportunities for growth generation, while ensuring key issues and risks are adequately addressed.

Zafar has been involved in a variety of capital raising and M&A transactions, including prospectus financings, private placements, qualifying transactions for capital pool companies, reverse takeovers, exempt takeover bids and plans of arrangements. He has experience advising clients with respect to stock exchange listings, structuring and facilitating asset purchase and share purchase transactions, and reviewing and drafting various corporate commercial agreements. Zafar has also negotiated and prepared a variety of business agreements, including shareholders' agreements, partnership agreements, joint venture agreements and commercial lease agreements.

Prior to joining the firm, Zafar worked in the Alberta Securities Commission's corporate finance division as its compliance counsel. He has experience reviewing and advising companies on capital raising and continuous disclosure requirements.

In addition, Zafar is actively engaged in writing articles and delivering presentations on a variety of topics pertaining to business law.
